ACQUISITION CRITERIA – COMMERCIAL REAL ESTATE JOINT VENTURES

• $ 5,000,000 to $ 20,000,000 Mezzanine financing solutions

• $ 15,000,000 to $ 45,000,000 Debt and Equity – like financing solutions

MEZZANINE FINANCING SOLUTIONS

• Mezzanine loans up to 90% of cost/value

• Up to 5 – year terms

• Minimum debt service coverage is 1.05%, all-in, based on benchmark rate

• All property types, with an emphasis on multi-family, office, retail and industrial

• Floating – or fixed-rate pricing available at 300-1000+ LIBOR

• Non – recourse except for standard carve-outs

PARTICIPATING DEBT – EQUITY FINANCING SOLUTIONS

• Participation loans up to 98% leverage of cost/value and 90% of the equity   position

• No fixed or current pay requirements; ideal for development and repositioning deals

• Up to 4-year terms

• No current – pay requirement, bank participates in profits

• Targeted ROI of 18% or more

• Up to 50% profit sharing on projects                            

• Prefer to exit via third party sale vs. re – finance

• Best for a sponsor with a true equity need and willingness to share in the appreciation of the property

• United States (minimum deal size of $ 5 million)

• Multi-family (C properties or value added component)

• Office

• Retail (expansion or repositioning opportunities a plus)

• History of success with similar projects

• High level of integrity and good reputation

• Local market expertise

• Management depth commensurate with activity level

• Stable financial condition and clear credit history

• Operating statements for property (pro forma is acceptable)

• Current rent roll

• Anchor tenant sales (if available)

• Site plan (with parking count)

• Trade area demographics

• Trade area description

• Traffic counts

• Area map

• Competition map (if available)
